1. AGREEMENT TO OUR LEGAL TERMS

We are Sterling Professional Education LLC, doing business as Sterling Pro Ed ("Company," "we," "us," or "our"), a company registered in Minnesota at 34164 315th Ave, Denison, MN 55018.

We operate the website https://sterlingproed.com (the “Site”) and related educational services. These Legal Terms constitute a legally binding agreement between you and Sterling Professional Education. By accessing the Services, you agree to be bound by these terms.

2. USER ACCOUNTS & SECURITY

• Registration: You must provide accurate, current, and complete information, including your legal name and professional license numbers.
• Single User Only: Accounts are for individual use. You are strictly prohibited from sharing your login credentials. Unauthorized sharing will result in immediate account termination and forfeiture of all credits.

3. INTELLECTUAL PROPERTY RIGHTS

We own all intellectual property in our services, including source code, website designs, audio, video, text, and graphics. You are granted a limited, non-transferable license to view course content for your personal professional development. You may not record, screen-capture, or redistribute any course materials.

5. PURCHASES, PAYMENT, & REFUNDS

• Payments: Processed securely through Helcim. All payments are in US dollars.
• Refunds (MN Statute §136A.827):
  • Online: Full refund available within 5 business days of purchase if the course has not been commenced. No refunds once a course is accessed beyond 25%.
  • In-Person: Full refund if cancelled at least 7 days prior to the class date.
• Reporting: All sales are final once credits are reported to the MN DLI.

6. PROHIBITED ACTIVITIES

You agree not to:

• Use any automated means (bots, scrapers) to harvest content from the Site.
• Attempt to bypass or interfere with "Seat Timing" mechanisms.
• Use generative AI tools to automate the answering of course quizzes or exams.

7. DISPUTE RESOLUTION

To expedite resolution, the Parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days. If unresolved, the Dispute will be finally and exclusively resolved through binding arbitration, under the rules of the American Arbitration Association.

8. DISCLAIMERS & LIMITATIONS OF LIABILITY

The services are provided on an "as-is" basis. Sterling Professional Education LLC is not responsible for professional decisions made based on our course content. Our total liability shall not exceed the amount paid by you to us during the six (6) month period prior to the claim.
